1. About These Terms

These Terms of Service govern your use of this website and any order for goods placed with JQSWEE TRADING, a confectionery and snack trading desk registered in Singapore and operating from 27 Anchorvale Crescent #10-34 Bellewaters, Singapore - 544657, Singapore (SG). By browsing this website, sending an enquiry or placing an order, you agree to these terms in the version published on this page at the time of the relevant action.

We buy sealed sweet tins, festive hamper items and pantry staples, repack them into resale lots and ship them to buyers such as small grocers, offices, cafes, event teams and corporate clients. These terms set out how quotations, orders, packing, delivery, payment and claims are handled, and they should be read together with our Privacy Policy.

If you are accepting these terms on behalf of a company or another organisation, you confirm that you have authority to bind that organisation, and references to you include that organisation. If you do not agree to these terms, please do not place an order.

2. Definitions

In these terms, the following words have the meanings given below.

  • Desk means JQSWEE TRADING and its personnel acting in the course of the business.
  • Buyer means the person or organisation placing an order or receiving goods.
  • Goods means the sweet tins, hampers, pantry lots, gift sets and other items supplied by the desk.
  • Quotation means a written offer issued by the desk stating goods, quantities, prices and a delivery window.
  • Order means the buyer written acceptance of a quotation, or a purchase order accepted by the desk.
  • Subscription means a recurring resupply arrangement described in section 13.
  • Produce date means the date on which a lot is packed and sealed in the Anchorvale packing room.

3. Eligibility and Business Use

This website and the trading desk are intended for businesses and adults. By placing an order you confirm that you are at least eighteen years of age and that you have the legal capacity to enter a contract. Where the buyer is a business, the desk may request a company registration name and a contact person for the account.

The desk reserves the right to decline an order or close an account where there is a reasonable concern about fraud, repeated non-payment, abusive conduct towards staff or a pattern of unfounded claims. Where an order is declined, any payment already received for that order will be returned in full.

4. Use of This Website

You may use this website for lawful purposes connected with evaluating or purchasing our goods. You must not attempt to gain unauthorised access to any part of the website or its systems, introduce malicious code, scrape content at a volume that degrades the service, or use the website to send unlawful or misleading communications.

The product descriptions, service pages and general information on this website are provided in good faith and for guidance. They do not constitute a binding offer. A binding offer is created only when the desk issues a written quotation, and a binding contract is formed only when the desk accepts an order in accordance with section 6.

5. Enquiries and Quotations

An enquiry should state the goods required, the quantities, the delivery date and any packing or labelling instructions. The desk will check live stock depth and reply with a written quotation that lists the goods, the carton count, the price and the proposed delivery window. Quotations are prepared from stock held or scheduled to arrive at the time of issue.

Unless stated otherwise in the quotation, a quotation remains valid for thirty days. Acceptance within that period does not guarantee availability if the quoted stock has been sold to another buyer in the meantime, because quotations are issued against live depth rather than reserved stock. If a quoted line is no longer available, the desk will inform the buyer before accepting the order and will offer a substitute or a revised quotation.

Quotations for seasonal imports carry a shorter validity window, which is stated on the quotation itself. Corrections to a quotation made by the desk to fix an obvious clerical error do not create a right to the erroneous figure.

6. Order Acceptance

An order is accepted only when the desk confirms it in writing, usually by email. Confirmation states the goods, the carton count, the agreed price and the delivery window. Until that confirmation is issued, the desk is not obliged to pack or ship any goods, and the buyer is not obliged to pay.

The desk may accept an order in part where some lines are unavailable, provided the buyer agrees in writing to the reduced order. Where an order is accepted subject to sample approval, as is usual for corporate gift sets, the contract for the full run is formed only when the sample is approved in writing.

The buyer is responsible for the accuracy of the delivery address, the recipient details and any access instructions supplied. Additional costs arising from an inaccurate address or a failed delivery attempt are payable by the buyer, and the desk will provide a written breakdown of those costs on request.

7. Pricing and Taxes

Prices are quoted in the currency stated on the quotation, which is normally Singapore dollars. Prices cover the goods and standard packing as described in the quotation. Delivery charges, special packaging, printed cards, custom labels and split deliveries are quoted separately and are shown as separate lines on the invoice.

Prices are exclusive of any applicable goods and services tax or other indirect tax unless the quotation states otherwise. Where tax applies, it is added to the invoice at the rate in force on the invoice date. The buyer is responsible for any import duty, customs charge or clearance cost arising on a cross-border delivery, unless the desk has expressly agreed in writing to bear that cost.

The desk may adjust prices for future orders at any time. A price adjustment does not affect an order that has already been confirmed, except where a supplier price change or a change in tax is outside the reasonable control of the desk and the desk has notified the buyer before packing begins.

8. Payment Terms

Unless other terms are agreed in writing, invoices are payable within fourteen days of the invoice date. For a first order, the desk may require payment before packing begins. Payment is made by the method stated on the invoice, which may be bank transfer or a payment provider nominated by the desk.

Where a payment is late, the desk may suspend further deliveries and subscriptions until the outstanding amount is settled. The desk may also charge interest on overdue amounts at a reasonable rate permitted by law, calculated from the due date until payment. The desk will send a written reminder before taking any step to recover an overdue amount.

The buyer must include the invoice number or purchase order reference with any payment so that the amount can be allocated correctly. If a payment is received without a reference and cannot be matched, the desk will contact the buyer and will not treat the invoice as settled until the payment has been identified.

9. Packing Standards and Substitution

Every lot is packed in the Anchorvale packing room to the standard described on the relevant service page. Lids are checked, weights are verified against the packing ticket, cartons are taped and labels are applied. A packing list is printed for each consignment and lists every carton separately so the delivery can be checked line by line at the receiving door.

The desk does not substitute a line without the buyer agreement. If a quoted line becomes unavailable, the desk will propose an alternative of equal or better specification and will wait for written approval before packing. Photographs of packaging may differ slightly from delivered goods because suppliers change tin designs from time to time; the specification of the contents, not the artwork, is the binding element of an order.

Weights stated on a quotation are target weights with a normal packing tolerance. A small variation caused by the natural weight of individual items is not a defect, provided the carton count and the stated contents are correct.

10. Delivery and Risk

Delivery is made to the address stated in the confirmed order, using a courier or logistics partner selected by the desk. The delivery window is an estimate prepared in good faith. Traffic, weather, customs clearance and courier volume can affect the actual arrival time, and the desk will inform the buyer promptly if a delay becomes known.

Risk in the goods passes to the buyer on delivery to the stated address or to a person nominated by the buyer to receive them. Title passes when the invoice has been paid in full. The buyer should ensure that someone is available to receive the consignment during the agreed window and that the delivery location is accessible for the vehicle and the carton count involved.

Where a consignment is left at a reception desk, loading bay or with a neighbour at the instruction of the buyer, delivery is treated as complete when the goods are handed over at that point. The desk will retain the courier proof of delivery with the order record.

11. Inspection and Claims

The buyer should inspect the consignment on arrival and check the carton count against the packing list. Any shortage, damaged carton or incorrect line should be reported to the desk within three working days of delivery, with photographs of the affected cartons and a note of the delivery reference. Reporting a problem promptly allows the desk to investigate while the delivery evidence is still fresh.

Where a claim is upheld, the desk will replace the affected goods or issue a credit note, at the buyer choice, provided the goods have not been consumed or resold in a way that prevents inspection. The desk may ask for the affected cartons to be returned or retained for inspection by the courier.

Claims made after the goods have been accepted into sale or after the three working day window may still be considered, but the desk may have less evidence available and the outcome will depend on what can be established. This section does not limit any right that cannot be excluded by law.

12. Returns and Refunds

Because the goods are food items, returns are accepted only where the goods are faulty, damaged in transit, incorrectly supplied or where a return is required by law. Goods that have been opened, stored incorrectly or consumed cannot be returned for a change of mind.

An approved return must be arranged with the desk in advance, and the goods should be kept in their original cartons where possible. Refunds are issued to the original payment method or as a credit note, at the buyer choice, within a reasonable period after the return has been inspected. Delivery charges are refunded where the fault lies with the desk.

Where a refund is issued for part of an order, the invoice is adjusted and a revised invoice is sent so that the accounting record matches the goods actually retained by the buyer.

13. Resupply Subscriptions

A resupply subscription is a standing order on a fixed delivery day with a fixed lot depth. The buyer sets the lot at setup, and the desk ships each cycle without issuing a fresh quotation. The subscription continues until it is paused or cancelled in accordance with this section.

Depth, delivery day and the mix of lines can be changed, paused or cancelled by written notice before the packing day for the next cycle. The packing day is stated on the most recent invoice. Once a cycle has been packed and sealed, it cannot be altered, and the buyer remains liable for that cycle.

The desk may adjust the subscription price for future cycles to reflect supplier price changes or tax changes. Where a price adjustment is material, the desk will give written notice before the next cycle is packed, and the buyer may cancel the subscription before that cycle begins.

If a cycle cannot be filled because a line is unavailable, the desk will notify the buyer and offer a substitute, a reduced cycle or a deferral to the following cycle. The desk will not send a different line without the buyer agreement.

14. Seasonal Imports

Seasonal imports are short-window lines landed ahead of a holiday period and cleared before the season closes. The desk publishes the last order date for each season in advance. Orders received after that date may be declined, because the remaining stock is reserved for confirmed delivery lists.

Because seasonal goods are landed on a fixed schedule, a delay at a port or with a supplier can affect the whole season. If a landing date slips, the desk will inform affected buyers immediately and will offer the choice of waiting, substituting or cancelling the affected line with a full refund of any payment made for it.

Seasonal goods are not carried over into a later season. Any remaining stock at the close of a season is cleared and is not offered as current stock in the following year.

15. Corporate Gift Sets

A corporate gift set order begins with a written brief covering the budget per set, the delivery date, the recipient list and any branding requirements. The desk prepares a proposed contents list and a sample. The full run begins only after the sample has been approved in writing.

Once the run has begun, changes to contents or branding may not be possible without additional cost and delay. The buyer is responsible for supplying accurate recipient names, addresses and delivery dates, and for ensuring that it has a lawful basis to share any personal information contained in a delivery list. The desk uses that list only for labelling and delivery.

Where a delivery list changes after packing has begun, the desk will do its best to accommodate the change but may charge for repacking or relabelling. Any unused printed cards or custom labels remain the property of the buyer and may be collected or destroyed at the buyer instruction.

16. Cancellation by Us

The desk may cancel an order or part of an order where stock is unavailable after a genuine attempt to source it, where a supplier fails to deliver, where payment is not received under the agreed terms, where the order appears fraudulent, or where fulfilling the order would require the desk to break the law.

Where the desk cancels an order for a reason other than the buyer breach, any payment received for the cancelled part will be refunded in full, and the desk will inform the buyer promptly with an explanation. The desk is not liable for any loss of profit or other consequential loss arising from a cancellation, subject to section 19.

17. Intellectual Property

The text, layout, styling and code of this website belong to JQSWEE TRADING and are protected by copyright and other laws. You may view and print pages for your own business use, but you may not copy substantial parts of the website for commercial publication, resell the content, or present it as your own without written permission.

Supplier brand names, tin artwork and product names shown or described on this website belong to their respective owners. Their appearance does not imply any endorsement of the desk by those owners beyond the normal supply relationship. Where a buyer supplies artwork or branding for a gift set, the buyer confirms that it has the right to use that material and grants the desk a limited licence to use it for the order.

18. Confidentiality

Each party may receive information that the other treats as confidential, such as pricing structures, delivery lists and business plans. The receiving party will use that information only for the purposes of the trading relationship and will not disclose it to third parties except where necessary to perform the contract, such as sharing a delivery address with a courier, or where the law requires disclosure.

These obligations do not apply to information that is already public, that the receiving party already held lawfully before disclosure, or that is independently developed without reference to the confidential information. The obligations continue for as long as the information remains commercially sensitive.

19. Limitation of Liability

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be excluded by law. Food safety matters are treated with particular care, and any concern about the safety of delivered goods should be raised with the desk immediately.

Subject to the previous paragraph, the total liability of the desk arising out of or in connection with an order is limited to the price paid or payable for the goods that are the subject of the claim. The desk is not liable for loss of profit, loss of business, loss of goodwill or any indirect or consequential loss, whether arising in contract, tort or otherwise.

The desk is not liable for loss caused by the buyer failure to store the goods correctly after delivery, by a delay caused by information the buyer supplied incorrectly, or by events outside the reasonable control of the desk described in section 21.

20. Indemnity

The buyer agrees to indemnify the desk against any claim, loss or cost arising from the buyer breach of these terms, from inaccurate delivery information supplied by the buyer, or from a claim that artwork or branding supplied by the buyer infringes the rights of another party. This indemnity does not apply to the extent that the loss was caused by the desk own negligence or breach.

21. Force Majeure

The desk is not liable for a failure or delay in performance caused by events outside its reasonable control, including natural disasters, severe weather, epidemic disease, port or customs disruption, supplier failure, industrial action, transport breakdown, power failure or a change in law. Where such an event occurs, the desk will inform the buyer promptly and will take reasonable steps to reduce the effect.

If the event continues for a period that makes performance clearly impossible, either party may cancel the affected order by written notice, and any payment received for goods not yet packed will be refunded.

22. Privacy

The desk processes personal information in accordance with our Privacy Policy, which explains what is collected, why it is used, how long it is kept and what rights are available. The privacy policy forms part of these terms by reference.

Where the buyer supplies personal information about recipients of a corporate gift set, the buyer confirms that it has a lawful basis to share that information and that it has given any notice required by applicable law. The desk uses that information only for labelling and delivery and does not add recipients to any marketing list.

23. Governing Law and Disputes

These terms and any dispute arising out of them are governed by the laws of Singapore. The parties will first attempt to resolve any dispute through good faith discussion, and a written notice of the issue should be sent to orders@jqsweetrading.buzz with enough detail to allow an informed response.

If the dispute cannot be resolved within thirty days of that notice, either party may refer the matter to the courts of Singapore, which will have exclusive jurisdiction, unless a mandatory rule in the buyer jurisdiction requires otherwise. Nothing in this section prevents either party from seeking urgent relief in a competent court.

24. Changes to These Terms

The desk may update these terms from time to time to reflect changes in the way it works or in the law. The current version is published on this page with the date shown at the top. Where a change is material, the desk will take reasonable steps to bring it to the attention of buyers with an active subscription or a recent order.

An order that has already been confirmed is governed by the terms in force when it was confirmed, unless the buyer agrees to the updated version. Continuing to use the website after an update takes effect means that the updated terms apply to future orders.

25. Contact

Questions about these terms, quotations, invoices or deliveries should be sent to the desk in writing. We aim to reply within one working day.
